Conduct Review and Risk Policy Committee
This Committee comprises three or more External Directors and an Executive Director as determined by the Board of Directors. Its oversight responsibilities are:
- To ensure that management has in place policies and procedures to manage the significant risk exposures of the Group. These risk exposures include Credit, Market, Liquidity, Reputational, Compliance and Operational Risks;
- To ensure the activities of the Group are carried out in accordance with the Risk Tolerance established by the Board of Directors. This will include a review of actions taken by Management to address risk exposures and an understanding of the significant risks to which the Group is exposed and the policies and procedures used by management to assess and manage these risk exposures;
- To ensure compliance with Internal Risk Management Policies and Procedures and Risk-Related regulatory requirements.
The Committee is chaired by an External Director and meets on a quarterly basis and more frequently when there are urgent matters for attention. Risk policies and practices are reviewed on a regular basis and recommendations for changes are made to the Board as appropriate.
